QUORYM TERMS OF SERVICE

‍By clicking the checkbox labeled “I agree to the Quorym Terms of Service and acknowledge the Privacy Policy” or by accessing or using the Quorym platform or related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the “Terms”).If you are using the Service on behalf of a company, organization, or other legal entity, you represent that you are authorized to bind that entity, and “you” or “your” refers to that entity.If you do not agree, do not register for or use the Service.1. Eligibility and Access1.1 Authorized Users Only. Access to Quorym is limited to individuals or entities authorized in writing by Quorym.1.2 Entity or Individual Agreement. These Terms apply to you whether you are an entity or an individual, and to your permitted users.1.3 Accounts. You must keep login credentials confidential and are responsible for all use under your account.2. Scope of Use2.1 Permitted Use. “Use” of Quorym means receiving updates, viewing Topic States, and interacting with Quorym’s analytical outputs and interfaces.2.2 Internal-Use License. Subject to these Terms, Quorym grants you a limited, non-exclusive, non-transferable license to use Quorym outputs internally for business purposes, including client-facing purposes.2.3 Prohibited Uses. You may not:copy, scrape, or download data at scale;

reverse engineer, decompile, or disassemble the platform or models;

publish Quorym outputs to public channels, social media, or websites without Quorym’s express written consent;

use Quorym for illegal or competitive purposes.

2.4 Accuracy Responsibility. Quorym may include machine-generated content produced by large language models (“LLMs”). You are solely responsible for verifying the accuracy and appropriateness of all outputs before use or reliance.

3. Data and Privacy3.1 Collected Data. Quorym collects only user-supplied email addresses and limited usage analytics.3.2 Third-Party Integrations. Quorym may request OAuth authorization for access to your Google Drive, Notion, or other integrated systems. Such access is limited to read/write operations required to provide the Service.3.3 Data Use. Usage data, logs, and anonymized content may be used by Quorym to operate, test, improve, and develop its models and analytics.3.4 Confidentiality. Each party shall maintain the confidentiality of the other’s non-public information and use it solely to perform this Agreement.3.5 Privacy. Quorym does not sell or share personal data. You may contact privacy@quorym.com for data-access or deletion requests.4. Intellectual Property4.1 Ownership.Quorym retains all rights, title, and interest in and to the Quorym platform, models, and any generated content, including Topic States and Updates.

You retain ownership of all input materials and data you provide to Quorym.

4.2 Your License to Quorym. You grant Quorym a limited, revocable license to use your inputs and uploaded materials solely to operate, maintain, and improve the Service, including through anonymized and aggregated analysis.4.3 Model Feedback Assignment. You may choose to submit suggestions, ideas, comments, or other feedback related to Quorym’s models (“Feedback”). You assign to Quorym all rights, title, and interest in such Feedback, including all intellectual property rights, and waive any moral rights regarding attribution of authorship.4.4 No Transfer. Except as expressly stated, these Terms do not transfer any intellectual property rights between the parties.5. Service Availability5.1 As-Is Basis. The Service is provided “AS IS” without warranties of any kind, including merchantability, fitness for a particular purpose, non-infringement, or accuracy of outputs.5.2 No Uptime Guarantee. Quorym makes no commitments regarding availability or performance.5.3 Changes and Termination. Functionality may change or terminate at any time. If Quorym discontinues the Service, it will provide at least thirty (30) days’ notice before data deletion and will refund fees for the month in which termination occurs.6. Fees and Payments6.1 Fees. Fees for the Service are as set forth on the applicable Order Form, invoice, or online checkout page (such as a Stripe payment link). Unless otherwise agreed in writing, fees are billed in advance on a recurring monthly basis starting on the date of purchase. All payments are non-refundable except as expressly stated in these Terms. By providing payment information, you authorize Quorym and its payment processors to automatically charge the applicable fees using your selected payment method until canceled or terminated in accordance with these Terms. Cancellations take effect at the end of the then-current billing period.6.2 Taxes. All fees are exclusive of Transaction Taxes (such as sales, use, VAT (Value-Added Tax), GST (Goods and Services Tax), or similar). Where required by law, applicable Transaction Taxes will be calculated and collected automatically through our payment processor (for example, Stripe Tax) and remitted as appropriate. You remain responsible for all other taxes associated with your purchase and for providing accurate billing and location information.6.3 Fee Changes. Quorym may modify subscription fees for subsequent billing periods by providing at least thirty (30) days’ advance notice via email or through the Service. Updated fees will take effect at the start of the next billing period.7. Confidential Information7.1 Obligation of Confidentiality. Each party shall keep confidential all non-public information disclosed by the other and use such information solely for purposes of this Agreement.7.2 Exclusions. Confidentiality obligations do not apply to information that (i) is or becomes public through no fault of the receiving party, (ii) is independently developed by the receiving party without reference to the disclosing party’s confidential information, or (iii) is rightfully received from a third party without restriction.7.3 Protection Measures. Each party shall take reasonable administrative, technical, and physical measures to protect the other’s confidential information from unauthorized use or disclosure.8. IndemnificationYou shall defend, indemnify, and hold harmless Quorym and its employees, directors, and representatives from all liabilities, claims, and expenses (including reasonable attorneys’ fees) arising from or related to your misuse of the Service or violation of these Terms.9. Disclaimers and Limitation of Liability9.1 No Warranties. Quorym disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement.9.2 Limitation of Liability. Quorym’s total liability under these Terms shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.9.3 No Consequential Damages. Neither party shall be liable for any indirect, consequential, incidental, special, or punitive damages.9.4 No Refunds. Except as expressly stated in Section 5.3, all fees are non-refundable.10. Term and Termination10.1 Term. These Terms begin on the date you first accept them and continue until terminated.10.2 Termination for Convenience. Either party may terminate with thirty (30) days’ written notice.10.3 Suspension or Termination for Cause. Quorym may suspend or terminate access immediately upon breach.10.4 Effect of Termination. Upon termination, your access to Quorym ceases. Prior to deletion, Quorym will provide you with the option to download or export your data in a commercially reasonable format. Quorym may retain anonymized or aggregated data for analytical or product-improvement purposes but will permanently delete identifiable data after thirty (30) days.11. Governing Law and DisputesThese Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to that jurisdiction.12. ModificationsQuorym may modify these Terms by posting an updated version or providing electronic notice. Continued use after notice constitutes acceptance of the modified Terms.13. Entire AgreementThese Terms constitute the entire understanding between you and Quorym regarding your use of the Service and supersede all prior or contemporaneous agreements, whether oral or written.14.
